TERMS OF SERVICE

Effective Date: March 7th, 2026

These Terms of Service (“Agreement”) govern your use of services provided by Apex Listing Systems LLC (“Company,” “we,” “our,” or “us”).

By engaging our services, you agree to the following terms.

1. Services Provided

The Company provides marketing and advertising management services, including but not limited to:

• Meta (Facebook) advertising campaign management
• Lead capture system setup
• Automation and follow-up system installation
• Content framework guidance
• Performance tracking and reporting

Specific deliverables may vary depending on the service agreement.

2. No Guarantees

The Company does not guarantee specific results, including but not limited to:

• Number of leads generated
• Appointment volume
• Listing agreements secured
• Revenue or income

Marketing results depend on numerous factors outside of the Company’s control, including market conditions, client follow-up efforts, pricing strategy, and economic factors.

3. Client Responsibilities

The Client agrees to:

• Maintain a minimum agreed-upon advertising budget
• Respond to leads in a timely manner
• Follow recommended follow-up practices
• Provide accurate reporting on appointments and outcomes
• Attend scheduled review calls

Failure to follow recommended processes may impact results.

4. Payment Terms

Service fees are billed monthly in advance unless otherwise agreed.

Payments are non-refundable.

If payment fails or is late, services may be paused until payment is received.

The Company reserves the right to suspend services for non-payment.

5. Cancellation Policy

Either party may cancel services with written notice.

Cancellation terms:
A minimum 30-day written notice is required for cancellation after initial 90 days contract.

6. Advertising Spend

Advertising budget is separate from service fees and is paid directly to advertising platforms (e.g., Meta).

The Company is not responsible for advertising platform charges or policy enforcement decisions.

7. Intellectual Property

All systems, frameworks, templates, scripts, and marketing materials developed by the Company remain the intellectual property of the Company unless otherwise agreed in writing.

Clients are granted limited usage rights for internal business use only.

8. Limitation of Liability

The Company shall not be liable for:

• Lost profits
• Business interruption
• Indirect or consequential damages

Total liability shall not exceed the amount paid by the Client in the preceding 30 days.

9. Indemnification

The Client agrees to indemnify and hold harmless the Company from claims arising from:

• Misrepresentation
• Regulatory violations
• Improper use of marketing materials
• Failure to comply with local real estate laws

10. Governing Law

This Agreement shall be governed by the laws of the State of Oregon.

Any disputes shall be resolved in the appropriate courts of that jurisdiction.

11. Modifications

The Company reserves the right to modify these Terms at any time. Updates will be posted on the website with a revised effective date.
